Reviewed Your Governing Documents Lately?

When I'm hired to counsel a surgical center, I'm always eager to review its limited partnership or limited liability company agreements, even if the client approached me with other concerns. Most outpatient surgery ventures don't audit the contents of these governing documents often enough, and identifying and addressing problems in them can significantly improve facility operations. Here are some hot spots I've encountered.
